ArisInfra Solutions Set to Launch Rs. 500-Crore IPO, Targeting B2B Construction Market

ArisInfra Solutions Ltd, a technology-driven B2B company focused on digitizing construction material procurement, is preparing for its Initial Public Offering (IPO), which is set to open for subscription on June 18. The company has set a price band of Rs 210 to Rs 222 per share for the nearly Rs 500-crore issue, which will close on June 20. The IPO, valued at approximately Rs 1,800 crore at the upper price band, is a fresh issue of equity shares with no Offer For Sale (OFS) component. The proceeds will be used for various growth initiatives, including working capital and strategic investments in subsidiaries.

ArisInfra Solutions: A Pioneering Force in B2B Construction Procurement

ArisInfra Solutions has positioned itself as a critical player in the B2B construction materials market by leveraging technology to streamline and digitize the procurement process. The company’s services cater to businesses involved in construction, simplifying the sourcing and delivery of essential building materials such as cement, steel, aggregates, ready-mix concrete, and walling solutions.

Founded with a vision to modernize the construction supply chain, ArisInfra operates through a network of 1,458 vendors and serves over 2,100 customers across 963 pin codes in multiple cities. From April 1, 2021, to March 31, 2024, ArisInfra successfully delivered 10.35 million metric tonnes of materials, showcasing the efficiency and scale of its operations.

Key Objectives of the IPO

The IPO will consist of a fresh issue of equity shares amounting to Rs 499.6 crore, with no offer for sale. The company plans to utilize the funds raised for various strategic purposes. A significant portion of the proceeds will be directed toward enhancing the company’s working capital, a critical component for scaling its operations. Additionally, a portion of the funds will be invested in Buildmex-Infra, a subsidiary of ArisInfra Solutions, to support its working capital needs and facilitate its growth.

Another important use of the proceeds is to fund the purchase of a partial shareholding from existing shareholders of another subsidiary, ArisUnitern Re Solutions Pvt Ltd. The remainder of the funds will be allocated for loan repayment and general corporate purposes, including potential acquisitions or expansions in line with the company’s strategic objectives.

IPO Structure and Shareholder Allocation

ArisInfra has structured the IPO with a clear focus on attracting institutional investors, while also offering opportunities for retail participation. Approximately 75% of the issue size has been reserved for Qualified Institutional Buyers (QIBs), underscoring the company’s appeal to large-scale investors. Another 15% of the shares are earmarked for Non-Institutional Investors (NIIs), and the remaining 10% will be available for retail investors, ensuring broad access to the public offering.

The price band for the shares has been set between Rs 210 and Rs 222 per share, with the upper end of the band implying a valuation of approximately Rs 1,800 crore. The IPO is expected to attract significant interest, particularly from institutional investors who are keen to tap into the growing demand for digitized solutions in the construction sector.

The Role of Key Lead Managers

The IPO is being managed by top financial services firms including JM Financial, IIFL Securities, and Nuvama, which are serving as the book-running lead managers for the issue. These firms bring significant expertise in handling large public offerings, ensuring that the process is smooth and transparent for investors.

The shares from the IPO are expected to be listed on the stock exchanges on June 25, marking a pivotal moment in the company’s growth journey as it takes the next step toward becoming a publicly traded entity.
