Gensol Engineering finds itself at the center of a spiraling financial and regulatory crisis, as its shares continue to nosedive, hitting fresh lower circuit limits on both the BSE and NSE. The company, once a promising player in India’s green energy and EV space, has seen its stock plummet nearly 92% from its 52-week high amid allegations of financial misconduct and fund diversion. Regulatory probes from SEBI and the Enforcement Directorate (ED) have deepened investor concerns, leaving the company’s market credibility in shambles and raising urgent questions about transparency and corporate governance in emerging tech firms.

Stock Plunges to 52-Week Low Amid Sustained Sell-Off

Shares of Gensol Engineering Ltd. remained locked in a lower circuit on Friday, plunging nearly 5% to hit Rs. 91.05 on the Bombay Stock Exchange (BSE), and Rs. 90.16 on the National Stock Exchange (NSE). These levels mark not only the daily permissible downside but also represent a new 52-week low for the company’s stock.

This relentless downward spiral has now continued for 12 consecutive trading sessions, wiping out over 44% of investor wealth in less than two weeks. Since reaching its 52-week high of Rs. 1,125.75, the stock has collapsed by a staggering 91.91%, reflecting the extent of market capitulation in response to escalating legal troubles and corporate mismanagement.

Regulatory Scrutiny Escalates: ED Raids and SEBI Bans

The unraveling of Gensol’s market performance is directly tied to a widening regulatory probe. On Thursday, the Enforcement Directorate conducted searches across the company’s premises in Delhi, Gurugram, and Ahmedabad under the Foreign Exchange Management Act (FEMA). Co-promoter Puneet Singh Jaggi was detained at a hotel in Delhi in connection with the investigation.

At the heart of the inquiry are serious allegations of financial impropriety, including fund diversion, corporate misgovernance, and market manipulation. The company’s promoter brothers—Anmol Singh Jaggi and Puneet Singh Jaggi—have been barred by the Securities and Exchange Board of India (SEBI) from accessing capital markets until further notice.

SEBI’s interim order was prompted by a whistleblower complaint in June 2024 that detailed concerns about price manipulation and misuse of company funds. These findings have shaken investor confidence and raised red flags about due diligence practices in India's fast-growing renewable energy and EV sectors.

Corporate Actions Frozen: Stock Split Suspended

As part of its interim directive, SEBI has also put a hold on Gensol Engineering’s planned stock split in the ratio of 1:10. This move, originally intended to increase liquidity and attract retail investors, now stands suspended amid the ongoing investigation.

The suspension signals broader market unease, with regulators keen to prevent any further value erosion or manipulation while probes are underway. Investors, both institutional and retail, now face heightened uncertainty regarding the company’s near-term viability and future governance structure.

Once considered a rising star in solar consulting, EPC contracts, and electric vehicle leasing, Gensol Engineering’s downfall is a stark reminder of the fragility of investor trust.
