PhonePe Files Confidential IPO Papers to Raise Rs. 12,000 Crore, Targets $15 Billion Valuation

Walmart-backed fintech leader PhonePe has filed confidential IPO documents with the Securities and Exchange Board of India (SEBI) to raise approximately Rs. 12,000 crore (about $1.5 billion). The company aims for a potential valuation of $15 billion, positioning it as one of India’s most significant public offerings in the financial technology sector. PhonePe, which dominates the UPI payments space with over 45% market share, is broadening its reach into credit, insurance, and wealth management services. The IPO filing reflects its transition from a high-growth startup to a profitable enterprise poised for long-term public market participation.

Confidential Filing: A Strategic Path to Market Debut

PhonePe’s decision to utilize SEBI’s confidential pre-filing route represents a strategic approach that allows the company to refine its offering structure before public scrutiny. This mechanism provides flexibility in both timing and pricing, enabling the firm to navigate market conditions more effectively while maintaining a competitive edge.

The fintech major plans to raise Rs. 12,000 crore through a combination of fresh equity issuance and an Offer for Sale (OFS) by existing stakeholders, including Walmart, Microsoft, and Tiger Global. The OFS component will provide partial exits for these investors while maintaining significant long-term shareholding.

Investment banking heavyweights, such as Kotak Mahindra Capital, JPMorgan, Citigroup, and Morgan Stanley, have been appointed to lead and manage the IPO process. This high-profile syndicate signals the company’s ambitions for a large-scale listing expected to take place in 2026.

Financial Performance: Signs of Stability and Growth

PhonePe’s latest financial results indicate a shift toward sustainable operations, a crucial factor for public market investors.

  • Net Loss: The company narrowed its net loss to Rs. 1,727 crore in FY25, down from Rs. 1,996 crore in FY24, reflecting improved cost control and operational efficiencies.
  • Revenue Growth: Operating revenue surged by 40% year-over-year, reaching Rs. 7,115 crore, driven by rising transaction volumes and expanded service offerings.
  • Positive Cash Flow: For the first time, PhonePe generated positive free cash flow of Rs. 1,202 crore in FY25, a critical milestone for a fintech company of its scale.
  • Adjusted EBIT: Excluding employee stock option (ESOP) costs, the firm recorded a positive adjusted EBIT of Rs. 117 crore, signaling a turn toward profitability.

This performance suggests that PhonePe is evolving from a capital-intensive, growth-first strategy to a balanced model focused on sustainable margins and long-term shareholder value.

Expanding Beyond Payments: Diversification Strategy

Initially launched as a digital payments platform centered around India’s Unified Payments Interface (UPI), PhonePe has strategically expanded its portfolio to capture broader financial services market share.

  • Credit and Lending: Development of consumer and merchant credit offerings, positioning the company as a challenger in India’s fast-growing digital lending ecosystem.
  • Insurance and Wealth Management: Introduction of health, motor, and life insurance products alongside mutual funds and brokerage services, deepening its user monetization capabilities.
  • Merchant Aggregation: In September 2025, PhonePe received RBI approval to operate as an online payment aggregator, enhancing its ability to process merchant transactions at scale.

As of August 2025, PhonePe reportedly processed over 9.15 billion transactions, representing more than 45% market share in the UPI ecosystem. The company serves a base of 600 million registered users and nearly 40 million merchants, providing a formidable platform for cross-selling its growing suite of financial products.

Valuation and Competitive Landscape

PhonePe is targeting a $15 billion valuation (approximately Rs. 1.33 lakh crore) for its IPO, a level that reflects its market leadership but will be closely scrutinized by investors.

The Indian fintech space remains fiercely competitive, with rivals such as Paytm, Google Pay, and Amazon Pay vying for dominance. While PhonePe leads in transaction volume, monetization of its vast user base and differentiation through value-added services will determine its long-term positioning.
